These Terms & Conditions (“Terms”) apply to your access to and use of the ONYX-SOS website at www.onyx-sos.com, the ONYX-SOS platform, and any related materials, demonstrations, communications, proposals or services provided in connection with ONYX-SOS.

The ONYX-SOS platform is provided by ONYX Technologies Limited, a company incorporated in Guernsey. Implementation, configuration, onboarding support, compliance project management, remediation support and managed service elements may be provided by ONYX Solutions Limited, where applicable.

References in these Terms to “ONYX”, “we”, “us” or “our” refer to ONYX Technologies Limited and, where relevant, ONYX Solutions Limited in respect of the specific services it provides.

By accessing the ONYX-SOS website, receiving ONYX-SOS materials, using the ONYX-SOS platform, requesting a demonstration, or engaging ONYX in connection with ONYX-SOS, you agree to be legally bound by these Terms. If you do not accept these Terms, please do not use the website, platform, services or materials.

Where separate written engagement terms, platform subscription terms, implementation terms, master services agreements, statements of work, proposals or order forms are agreed with you, those separate terms will take precedence if there is any conflict with these Terms.

Scope and audience

1.1
These Terms apply to business users only. ONYX-SOS is intended for firms, organisations and professional users, and is not intended for personal, household or consumer use.
1.2
These Terms apply to your use of the ONYX-SOS website, platform demonstrations, marketing materials, guides, proposals, platform-related communications and any exploratory or ad-hoc support provided in connection with ONYX-SOS.
1.3
Separate written engagement terms, platform subscription terms, implementation agreements, statements of work, proposals, order forms or master agreements agreed with you will take precedence over these Terms in the event of conflict.
1.4
ONYX-SOS may be used as a standalone platform or alongside implementation, onboarding, remediation or managed service support provided by ONYX Solutions Limited.

No advice / no client relationship from general use

2.1
Unless we have entered into a separate written engagement with you, all website content, demonstrations, guides, platform materials, articles, templates and general communications are provided for general information only and do not constitute legal, regulatory, financial, tax or professional advice.
2.2
Accessing the website, receiving ONYX-SOS materials, participating in a demonstration, requesting information, or discussing the platform with us does not create a client, advisory, fiduciary or professional services relationship.
2.3
Where ONYX Solutions Limited is separately engaged to provide implementation, onboarding, remediation, compliance support, project management or managed services, the scope of those services will be governed by the relevant written engagement terms, proposal or statement of work.
2.4
You remain responsible for your own regulatory obligations, internal decisions, risk assessments, approvals, policies, procedures and compliance outcomes.

Accuracy and updates

3.1
We endeavour to ensure that ONYX-SOS materials and website content are accurate and current, but we do not warrant or guarantee that they are complete, up to date, error-free or suitable for your specific circumstances.
3.2
Regulatory requirements, guidance, industry practice and technology functionality may change over time. We may amend, update, withdraw or replace website content, platform materials, guides, demonstrations or functionality descriptions at any time without notice.
3.3
Any examples, screenshots, workflows, scoring models, diagrams, platform descriptions or use cases are illustrative only and may differ from the final configuration agreed with a client.
3.4
You should obtain appropriate professional advice before relying on any general information contained on the website or in ONYX-SOS materials.

AI-assisted content and automation

4.1
We may use AI tools, automation or technology-assisted processes to support the preparation of drafts, summaries, insights, training materials, platform outputs, workflow assistance or other materials.
4.2
AI-assisted or automated outputs may contain errors, omissions, inaccuracies or contextual limitations and should be reviewed by an appropriately skilled person before being relied upon.
4.3
ONYX-SOS is intended to support structured decision-making, workflow management, evidence capture and compliance process oversight. It does not replace professional judgement, MLRO oversight, board responsibility, senior management responsibility or a firm’s own regulatory obligations.
4.4
You remain responsible for reviewing and approving any decisions, classifications, risk ratings, onboarding outcomes, remediation actions or regulatory conclusions made using or supported by ONYX-SOS.

Intellectual property and permitted use

5.1
Unless stated otherwise, all rights in the ONYX-SOS website, platform, software, workflows, designs, layouts, graphics, logos, documents, guides, demonstrations, training materials, templates, scoring structures, configuration materials and related content are owned by ONYX Technologies Limited, ONYX Solutions Limited or their licensors.
5.2
You may use ONYX-SOS materials provided to you for your internal evaluation, training or business purposes only, unless otherwise agreed in writing.
5.3
You must not copy, reproduce, adapt, reverse engineer, resell, sublicense, distribute, commercialise, scrape or otherwise exploit the ONYX-SOS platform, materials, workflows, screenshots, documentation or content without our prior written consent.
5.4
You must not remove ONYX branding, copyright notices, trade marks or proprietary notices from any materials provided to you.
5.5
No rights are granted to you in the ONYX-SOS platform, software, trade marks, business names or intellectual property other than the limited rights expressly set out in these Terms or any separate written agreement.

Platform use

6.1
ONYX-SOS may be made available for demonstration, trial, evaluation, subscription or managed service use, subject to any separate written terms agreed with you.
6.2
You are responsible for ensuring that all information, documents and data submitted through ONYX-SOS are accurate, complete, lawful and appropriate for the relevant purpose.
6.3
You are responsible for your users’ access to the platform, including ensuring that only authorised personnel use the system and that user credentials are kept secure.
6.4
You must not use ONYX-SOS in any way that is unlawful, harmful, fraudulent, disruptive, abusive, misleading, unauthorised or inconsistent with applicable laws, regulations, these Terms or any separate agreement with us.
6.5
You must not attempt to gain unauthorised access to ONYX-SOS, interfere with its operation, introduce malicious code, bypass security controls, test vulnerabilities without permission, or use the platform in a way that could damage, disable, overburden or impair it.
6.6
We may suspend, restrict or withdraw access to ONYX-SOS where we reasonably believe there has been misuse, unauthorised access, security risk, non-payment, breach of agreement, legal concern, regulatory concern or any other matter requiring protective action.

Third-party services and integrations

7.1
ONYX-SOS may integrate with, rely on, or enable access to third-party providers, including electronic identity verification providers, screening providers, data providers, hosting providers, workflow tools, AI tools, integrations or other technology partners.
7.2
Third-party services may be subject to their own terms, availability, fees, limitations, data processing arrangements and service levels.
7.3
We are not responsible for the acts, omissions, availability, accuracy, delays, failures or performance of third-party providers except to the extent expressly agreed in writing.
7.4
Where third-party costs apply, including electronic ID&V checks, data enrichment, screening, storage, AI usage, integration fees or other external provider charges, these may be charged separately or passed through in accordance with the relevant proposal, pricing schedule, order form or agreement.

Limitation of liability

8.1
To the fullest extent permitted by law, ONYX shall not be liable for any indirect, incidental, special, consequential or punitive losses, or for loss of profit, revenue, business opportunity, goodwill, anticipated savings, data or regulatory outcome arising out of or in connection with your use of the website, ONYX-SOS platform, materials, demonstrations or services.
8.2
ONYX-SOS supports compliance processes, onboarding workflows, evidence capture and workflow management, but does not guarantee regulatory approval, successful onboarding, acceptance of any customer, avoidance of regulatory action, or any particular compliance outcome.
8.3
We do not warrant that the website, platform, materials or services will be uninterrupted, error-free, secure, free from viruses or other harmful components, or compatible with all systems or requirements.
8.4
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot legally be limited or excluded.

Privacy and data protection

9.1
We handle personal data in accordance with The Data Protection (Bailiwick of Guernsey) Law, 2017, and our Privacy Policy.
9.2
ONYX-SOS may involve the processing of personal data, identity documents, due diligence information, screening information, risk assessment information and other compliance-related data.
9.3
The role of each party, including whether ONYX Technologies Limited, ONYX Solutions Limited or any third-party provider acts as controller, processor or sub-processor, will depend on the nature of the services being provided and should be set out in the relevant written agreement, data processing terms or privacy notice.
9.4
You must ensure that you have the necessary lawful basis, permissions, notices and authority to upload, submit or otherwise process personal data through ONYX-SOS.
9.5
You are responsible for ensuring that any personal data, documents or information provided to us or uploaded to ONYX-SOS are accurate, lawful and provided in accordance with applicable data protection laws.
9.6

Website terms

10.1
The ONYX-SOS website is provided for general information only and does not constitute legal, regulatory, financial, tax or professional advice.
10.2
The website may contain links to third-party websites or services for convenience. We do not control and are not responsible for their content, practices, availability or policies. Use of third-party websites is at your own risk.
10.3
You must not misuse the website, attempt unauthorised access, introduce malicious code, interfere with security, or use automated scraping or crawling except as permitted by law and our published policies.
10.4
We do not guarantee that the website, or any content on it, will always be available, secure, error-free or uninterrupted. We may suspend, withdraw, restrict or amend the website, or any part of it, without notice.

Changes to these Terms

11.1
We may update these Terms from time to time.
11.2
The most recent version will be available on this website and will apply from the stated “Last updated” date.
11.3
Continued use of the website, ONYX-SOS platform, materials or services after changes are made constitutes acceptance of the updated Terms.

Governing law and jurisdiction

12.1
These Terms are governed by the laws of the Bailiwick of Guernsey.
12.2
The courts of Guernsey shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.
